These Terms of Service (Terms) are an agreement between you and EZ Ai Assist Inc., a Delaware corporation operating from Hoover, Alabama (EZ Ai Assist, we, us, or our). They apply to the EZ Ai Assist website, any related application, paid plan, support interaction, and service we make available (collectively, the Services).

If you use the Services for an organization, you represent that you have authority to bind that organization, and you and that organization are responsible for compliance with these Terms.

You must be legally able to enter into this agreement and, where applicable, be at least the age of majority in your jurisdiction. You are responsible for accurate account, billing, and contact information; safeguarding credentials; and all activity occurring through your account or under your authority.

We may refuse registration, require verification, limit access, or suspend an account when reasonably necessary to protect the Services, users, third parties, or our legal and commercial interests.

EZ Ai Assist may add, change, limit, discontinue, or make available on a preview, beta, or experimental basis any feature, model, provider connection, price, or service level. We do not guarantee that any model, integration, output, or feature will remain available or operate without interruption.

Marketing demonstrations, roadmaps, comparisons, previews, and availability statements are informational only and are not a promise to deliver a particular capability, model, performance level, release date, or result.

You may use the Services only for lawful, authorized purposes and in accordance with these Terms and applicable third-party provider terms. You may not use the Services to violate law or rights; create or distribute unlawful, harmful, fraudulent, infringing, or abusive material; bypass security; interfere with the Services; scrape or reverse engineer them except where law cannot prohibit it; or enable another person to do any of those things.

• Do not submit material you lack the right to use or disclose.
• Do not rely on generated output as legal, medical, financial, employment, tax, safety, or other professional advice.
• Do not attempt to access non-public systems, accounts, data, quotas, or provider credentials.

You retain rights you have in content you submit, subject to the license needed for us and our service providers to host, process, transmit, secure, and operate the Services. You are responsible for your content, your use of outputs, and evaluating outputs before relying on, publishing, or using them.

AI-generated output may be inaccurate, incomplete, unavailable, similar to material generated for others, or subject to third-party terms and restrictions. EZ Ai Assist does not guarantee output accuracy, uniqueness, non-infringement, fitness, ownership, or suitability. Third-party models, providers, tools, and links are governed by their own terms and policies.

If we offer a paid Service, you agree to pay the stated fees, applicable taxes, and any amounts due under the selected plan or order. We may use Stripe or another authorized payment processor to process payments; payment information is handled by that processor under its terms and privacy practices.

Recurring subscriptions renew automatically for successive periods unless you cancel before the next renewal date through the applicable account controls or by using Contact. Cancellation stops future renewal and ordinarily leaves access active through the end of the current paid period. Except where required by law, cancellation does not create a prorated refund or refund for unused time.

Our Refund & Cancellation Policy is incorporated into these Terms. We may change plan features or prices on prospective notice where required by law.

The Services, software, branding, designs, documentation, and other materials we provide are owned by EZ Ai Assist or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Services for their intended purpose.

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED AS IS AND AS AVAILABLE. EZ AI ASSIST DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZ AI ASSIST AND ITS AFFILIATES, LICENSORS, PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNTS YOU PAID TO EZ AI ASSIST FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.

You will defend, indemnify, and hold harmless EZ Ai Assist and its affiliates, licensors, providers, officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses arising from your content, your use of the Services or outputs, your violation of these Terms, or your violation of law or third-party rights.

We may suspend or terminate access immediately if we reasonably believe you breached these Terms, created risk for the Services or others, failed to pay amounts due, or if suspension is required by a provider, law, or security concern. On termination, your right to use the Services ends, but sections that by their nature should survive will survive.

These Terms and any dispute are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. To the extent a dispute may proceed in court, you and EZ Ai Assist consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except where applicable law requires otherwise.

We may update these Terms from time to time. The updated version becomes effective when posted unless a later date is stated. Your continued use after the effective date means you accept the updated Terms to the extent permitted by law.
